Terms of service

These Terms of Service ("Terms") are an agreement between you and YMF Carpets, Inc., doing business as Wyatt & Ash ("Wyatt & Ash," "we," "our," or "us"). They govern your access to and use of wyattandash.com, any related services we provide, and purchases made directly from us through our website (collectively, the "Services"). Certain provisions also apply when you purchase Wyatt & Ash products from us through a third-party marketplace or sales channel, including TikTok Shop.

By accessing or using the Services or placing an order with us, you agree to these Terms. If you do not agree, do not use the Services.

1. Third-Party Marketplaces and Sales Channels

Purchases made through TikTok Shop or another third-party marketplace are also governed by that platform's buyer terms, checkout disclosures, cancellation, shipping, return, refund, and dispute policies. You must use the platform's designated tools for order-specific requests when required. If these Terms conflict with a mandatory rule of the sales channel through which you purchased, the sales channel's rule will control for that transaction to the extent of the conflict. Nothing in these Terms limits rights that cannot be waived under applicable law.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority where you live, to place an order or create an account. You are responsible for providing accurate information, maintaining the confidentiality of your credentials, and promptly notifying us of suspected unauthorized account activity. You may not use another person's account without permission.

3. Products, Availability, and Information

We make reasonable efforts to display product descriptions, colors, dimensions, materials, care information, pricing, and availability accurately. Actual colors and appearance may vary because of lighting, photography, screen settings, manufacturing variations, and the handcrafted or textured nature of some products. Product information may occasionally contain errors or omissions.

Products, prices, promotions, and availability may change without notice. We may correct errors, update information, limit quantities, or discontinue products, subject to applicable law and any controlling sales-channel policy.

4. Orders, Acceptance, and Cancellation

Submitting an order is an offer to purchase. An automated acknowledgment does not necessarily mean that we have accepted the order. We or the applicable sales channel may verify information and may accept, reject, limit, or cancel an order as permitted by law and applicable platform policies, including for pricing or inventory errors, suspected fraud, payment problems, or shipping restrictions.

If a paid order is canceled, the refund will be handled according to the policy applicable to the sales channel through which the order was placed. For TikTok Shop purchases, cancellation requests and status are managed through TikTok Shop. For purchases made directly through our website, any available cancellation option will be governed by the rules presented at checkout and our Return and Refund Policy.

5. Prices, Payments, and Taxes

Prices are shown in U.S. dollars unless stated otherwise. Applicable taxes, shipping charges, discounts, and other fees are displayed before you complete the purchase. Available payment methods are those shown at checkout on the applicable sales channel. Payments may be processed by Shopify, TikTok, or another payment provider. You authorize the applicable provider to charge the amounts displayed at checkout and agree to provide current, complete, and accurate billing information.

6. Shipping and Delivery

Shipping availability, charges, estimated delivery dates, carrier options, and address restrictions are described at checkout and in our Shipping Policy. Delivery estimates are not guarantees. Weather, carrier disruptions, incorrect addresses, supply interruptions, and other circumstances outside our reasonable control may cause delays.

Title and risk of loss will transfer as provided by applicable law and any controlling sales-channel policy. Nothing in these Terms limits rights or remedies available for lost, damaged, late, or undelivered orders under applicable law or the policies of the sales channel through which the order was placed.

7. Returns, Refunds, and Replacements

For purchases made directly through our website, eligibility, timeframes, conditions, fees, exclusions, and procedures are described in our Return and Refund Policy.

For purchases through TikTok Shop or another marketplace, submit cancellation, return, refund, replacement, and appeal requests through that platform when required. Those requests may be approved, denied, or automatically processed under the platform's policies and applicable law. Platform rules may override our general policy for that transaction. Nothing in these Terms excludes statutory warranty, refund, replacement, or cancellation rights that cannot legally be waived.

8. Acceptable Use

You may not use the Services to violate law; infringe intellectual-property, privacy, publicity, or other rights; submit false, fraudulent, misleading, abusive, or harmful material; interfere with security or operation of the Services; introduce malicious code; scrape or collect data through unauthorized automated means; impersonate another person; evade purchase limits; or engage in fraud or unauthorized commercial activity. We may restrict or terminate access when we reasonably believe these Terms have been violated.

9. Intellectual Property

The Services and their content, including text, graphics, logos, photographs, product names, designs, videos, software, and arrangement, are owned by or licensed to Wyatt & Ash and are protected by intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for personal, lawful purposes. No ownership rights are transferred to you. You may not reproduce, modify, distribute, sell, publicly display, or commercially exploit protected content without prior written permission, except as permitted by law.

10. Reviews and Other User Content

If you submit a review, photograph, video, comment, or other content directly to us, you represent that you have the right to provide it and that it is accurate, lawful, and does not violate another person's rights. You grant us a nonexclusive, worldwide, royalty-free, sublicensable license to host, reproduce, display, adapt, distribute, and use that content in connection with our products, Services, marketing, and business operations, subject to applicable law and our Privacy Policy.

Content submitted through TikTok or another platform is also subject to that platform's terms and settings. We may remove content from surfaces we control when permitted by law.

11. Privacy

Our collection and use of personal information are described in our Privacy Policy. Third-party marketplaces and payment providers process information under their own privacy notices.

12. Third-Party Services and Links

The Services may link to or integrate with third-party websites, applications, payment providers, carriers, and social-media platforms. We do not control their content, availability, security, or privacy practices. Your use of third-party services is governed by their terms and policies.

13. Disclaimers

To the fullest extent permitted by law, the Services and website content are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent those warranties may legally be disclaimed. We do not warrant that the website will always be uninterrupted, secure, or error-free.

These disclaimers do not apply to any express product warranty we provide, any warranty that cannot be disclaimed, or any statutory consumer right.

14. Limitation of Liability

To the fullest extent permitted by law, Wyatt & Ash, YMF Carpets, Inc., and their affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, data, or goodwill, arising from the Services or these Terms.

To the fullest extent permitted by law, our aggregate liability relating to a product or transaction will not exceed the amount you paid for that product or transaction. These limitations do not apply where prohibited by law, including to liability that cannot legally be limited or excluded.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Wyatt & Ash, YMF Carpets, Inc., and their affiliates, officers, employees, and service providers from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your user content, or your material breach of these Terms. This section does not require a consumer to indemnify us for our own negligence, unlawful conduct, or breach.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent another law must apply to protect a consumer. Subject to non-waivable rights and any controlling marketplace dispute process, disputes arising from these Terms or a direct purchase from us may be brought in the state or federal courts located in New Jersey. Either party may pursue an eligible claim in small-claims court. Nothing in this section prevents you from exercising rights or remedies that cannot be waived under applicable law.

17. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access to Services we control if we reasonably believe you violated these Terms, created risk or legal exposure, or engaged in fraud or misuse. Termination does not affect obligations or rights that arose before termination, including payment obligations and valid order, return, refund, warranty, or consumer-protection rights.

18. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect and the affected provision will be enforced to the maximum extent permitted by law. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, but we may assign them as part of a merger, reorganization, sale, or transfer of our business, subject to applicable law. These Terms, together with incorporated policies and transaction-specific disclosures, constitute the agreement between you and us concerning the Services.

19. Changes to These Terms

We may update these Terms to reflect changes in our Services, practices, or legal obligations. We will post the revised Terms and update the effective date. Changes apply prospectively unless applicable law requires otherwise. Material changes will receive additional notice when required.
